IN NO EVENT SHALL THE TOTAL LIABILITY OF DEWEY'S PIZZA TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR THESE TERMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF THE ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND REGARDLESS OF WHETHER SUCH LIMITATIONS OF LIABILITY ARE HELD TO FAIL OF THEIR ESSENTIAL PURPOSE.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential damages, so the above limitations may not apply to you in full. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact Dewey's Pizza in writing at [email protected] and provide a detailed description of your dispute and the resolution you are seeking. We will make a good-faith effort to resolve the dispute informally within thirty (30) days of receiving your written notice. If the dispute is not resolved within that period, either party may pursue formal dispute resolution as described below.
12.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED BELOW, YOU AND DEWEY'S PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS, RATHER THAN IN COURT.
The arbitration shall be conducted by a recognized arbitration organization, such as the American Arbitration Association (AAA), under its then-current Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the United States, and the arbitrator's award shall be final and binding.
12.3 Class Action Waiver
YOU AND DEWEY'S PIZZA EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
12.4 Exceptions
Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights or unauthorized use of confidential information.
13. Term and Termination
13.1 Duration
These Terms shall remain in full force and effect for as long as you continue to use or access the Website or Services. Your rights under these Terms will terminate automatically without notice if you fail to comply with any provision hereof.

Dewey's Pizza shall not be liable for any failure or delay in performance under these Terms to the extent that such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, severe weather, pandemic, epidemic, labor disputes, power outages, internet service disruptions, acts of terrorism, government restrictions, supply chain disruptions, or any other event beyond our reasonable control (collectively, "Force Majeure Events"). We will use commercially reasonable efforts to mitigate the effects of any Force Majeure Event and to resume performance as promptly as reasonably practicable.
19. No Waiver
The failure of Dewey's Pizza to enforce any right or provision in these Terms shall not constitute a waiver of future enforcement of that right or provision. A waiver of any breach by Dewey's Pizza shall not be deemed a waiver of any subsequent breach of the same or any other provision.
20. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
